1. Account Terms

MemberFlow is a membership management platform that allows businesses to manage members, subscriptions, payments, attendance, and staff. We provide the Service on a subscription basis with various plans (Starter, Go, Plus, Pro) each offering different features and limits.

3. Subscriptions and Payments

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees. Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law.

We reserve the right to modify pricing at any time. Any price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any pricing changes.

4. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. User Content and Data

You retain ownership of all data you submit to the Service, including member records, payment information, and business data ("User Content"). By using the Service, you grant us a limited license to use, store, and process your User Content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy and legality of your User Content. You must have the necessary rights and consents to provide any personal data of your members or staff to us.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to solicit illegal activities
• Upload or transmit viruses, malware, or any malicious code
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or servers connected to it
• Scrape, crawl, or use automated means to access the Service without permission
• Reproduce, duplicate, sell, or resell any portion of the Service
• Harass, abuse, or harm another person through the Service
• Impersonate any person or entity, or falsely state your affiliation

7. Staff and Multi-User Access

Depending on your plan, you may invite staff members to access your business account with specific roles (Admin, Staff, Receptionist). You are responsible for the actions of all users you invite. Staff access limits vary by plan as described on our pricing page.

8. Third-Party Services

The Service may integrate with or contain links to third-party services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of such services is at your own risk.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by MemberFlow and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components. Your use of the Service is at your sole risk.

11. Limitation of Liability

To the fullest extent permitted by law, MemberFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless MemberFlow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may also terminate your account at any time by contacting us. Provisions that by their nature should survive termination shall remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, specifically the state of Karnataka, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
